Lulu EMR Software License Agreement
Version 1.0 · Effective October 12, 2026
Licensor: Stefan Filipovski, the owner and developer of Lulu EMR.
Please read this agreement carefully. It is a legal agreement between you and the Licensor. By installing, opening or using the Software, you agree to it. If you use the Software for a school, team, clinic or other organization, you accept this agreement on that organization's behalf and confirm that you have authority to do so; "you" then means both you and that organization. If you do not agree, do not install or use the Software.
1. Definitions
- "Software" means Lulu EMR in every form the Licensor makes available: the desktop app for macOS and Windows, the browser version, Lulu EMR for iPhone, Lulu Sync and the portable viewer, together with their updates, exercise library, templates, figures, handouts, documentation and other content.
- "Licensor", "we" and "us" mean Stefan Filipovski.
- "Organization" means the school, team, clinic or other organization for which the Software is used, if any.
- "Authorized Users" means you and the staff your Organization permits to use the Software for it.
- "Your Records" means the information you or your Authorized Users enter into or attach to the Software, including athlete profiles, visits, injuries, notes, programs, documents and the activity history.
- "License Key" means the code the Licensor issues for one computer, which states the Organization, the number of licenses purchased, the major version of the Software they cover and the computer it works on.
- "Licensed Trainers" means the athletic trainers and other clinicians who enter or update records in the Software.
- "Separate Agreement" means a written license agreement for the Software signed by the Licensor and you or your Organization.
2. License grant
2.1 Subject to this agreement, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software in executable form, on computers and iPhones that you or your Organization own or control, by Authorized Users, solely for your Organization's internal athletic training, sports medicine and student-athlete care record keeping.
2.2 Scope of each license. Each Group license purchased covers one Organization's athletic training program, up to four (4) computers and up to four (4) Licensed Trainers; an Individual license covers one (1) computer and one (1) Licensed Trainer. Each computer needs its own License Key, which works only on that computer. An Organization with more computers or Licensed Trainers needs additional licenses. Athletes using the sign-in kiosk are not Licensed Trainers.
2.3 Versions. A license covers every release of the major version stated in its License Key (for example, every 1.x release). It does not expire: you may keep using any version you are licensed for for as long as this agreement remains in effect. A later major version (for example, 2.0) requires an upgrade license.
2.4 Activation and evaluation. A computer's License Key is obtained by entering that computer's code and the email address used for the purchase on the Licensor's activation page, or by request to the Licensor. The Software itself does not connect to the internet to activate. Without a valid License Key for a computer, the Software offers only its demonstration with made-up records and the export of Your Records: it never withholds Your Records, which you may export at any time.
2.5 The license continues until it ends under Section 13. If a Separate Agreement sets a term, fee, number of users or other limit, that Separate Agreement controls.
3. Ownership
3.1 The Software is licensed, not sold. The Licensor owns and keeps all right, title and interest in and to the Software, including all copyrights, trade secrets, trademarks and other intellectual property rights in it, and in every copy, modification and derivative work of it, whoever makes them. You receive only the rights this agreement expressly grants. All other rights are reserved.
3.2 Trademarks. "Lulu EMR", the Lulu EMR logo and the cat design in it are trademarks of the Licensor. This agreement grants no right to use them, except to refer accurately to the Software.
3.3 Feedback. If you give the Licensor suggestions or other feedback about the Software, the Licensor may use them for any purpose without obligation to you.
4. Your Records
4.1 Your Records belong to you or your Organization. The Licensor claims no ownership of them.
4.2 The Software stores Your Records on your own devices, encrypted, and sends nothing to the Licensor. The Licensor has no copy of, and no access to, Your Records, passphrases, recovery keys or encryption keys, and cannot recover them if they are lost.
4.3 You are responsible for: keeping devices, passphrases and recovery keys secure; making and testing backups; deciding who may use the Software and what they may see; the accuracy of what is entered; and following the laws, regulations, policies and consents that apply to Your Records, including those about minors and health information.
4.4 You may export Your Records at any time with the Software's export features, and keep the exports whether or not this agreement remains in effect.
5. Restrictions
You must not, and must not permit anyone else to:
- copy the Software, except for installation under Section 2 and a reasonable number of backup copies;
- distribute, sell, rent, lease, lend, sublicense, host or otherwise make the Software available to anyone other than Authorized Users, unless the Licensor permits it in writing;
- modify, translate or create derivative works of the Software, or incorporate any part of it in other software;
- reverse engineer, decompile, disassemble or try to derive the source code of the Software, except to the extent applicable law expressly permits this despite this restriction;
- remove, alter or obscure any copyright, trademark, license or other notice in the Software;
- circumvent or disable the Software's encryption, app lock, kiosk lock, activity history, license checks or other security features;
- share a License Key outside your Organization, alter one, use the Software on more computers or with more Licensed Trainers than your licenses cover, or misrepresent a computer's code;
- use the Software to keep records for anyone other than your Organization, or to provide a service to third parties, without the Licensor's written permission;
- use the Software, its content or its design to build or train a competing product; or
- use the Software in violation of any law.
6. Open-source and third-party components
The Software includes open-source components that are licensed under their own terms, listed in Third-party notices. Those terms govern those components, and nothing in this agreement limits your rights under them. Operating-system frameworks are used under their platforms' terms.
7. Updates and support
For each license, the Licensor provides the updates it releases for the licensed major version, and reasonable email support until the next major version is released. The Licensor is not required to release any particular update or feature. Updates are never installed silently: you choose when to install them. Verify each download against the SHA-256 checksum published with it. Updates are part of the Software and governed by this agreement unless they come with different terms.
8. Confidentiality
The Software's source code, internal design and security architecture, and any non-public information the Licensor gives you about the Software, are the Licensor's confidential information. You must not disclose them, and you must use them only as this agreement permits.
9. Clinical use
9.1 The Software is a record-keeping and organizational tool for qualified professionals. It is not a medical device. It does not diagnose, treat or give medical advice, and it does not replace the professional judgment of licensed clinicians, who remain responsible for every clinical decision and for the accuracy of their records.
9.2 Exercise descriptions, figures, templates, handouts and other content are general information for use under the supervision of a qualified professional, who should adapt them to each athlete.
9.3 Alerts, reminders, flags, summaries and generated note text are aids. Review every note before you rely on it or sign it. Do not rely on the Software in an emergency.
10. No compliance representation
The Software provides technical safeguards, including encryption, access control, automatic locking and an activity history. The Licensor makes no representation that using the Software satisfies any law, regulation, standard or policy that applies to you or your Organization. That assessment is yours.
11. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. THE LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT YOUR RECORDS WILL NOT BE LOST. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
12. Limitation of liability
12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, RECORDS, PROFITS, REVENUE, GOODWILL OR BUSINESS, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THEIR POSSIBILITY.
12.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100).
12.3 These limits apply even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited by law.
13. Term and termination
13.1 This agreement remains in effect until terminated. You may terminate it at any time by uninstalling the Software and destroying all copies.
13.2 The license ends automatically, without notice, if you breach this agreement. The Licensor may also terminate it on written notice if you or your Organization stop using the Software for the purpose in Section 2.1, or as a Separate Agreement provides.
13.3 When the license ends, stop using the Software and remove it from your devices. Before you do, export Your Records from the desktop app (Settings → Sharing & export); you keep those exports. Sections 3, 4, 5, 8 to 12, 13.3, 14 and 15 survive termination.
14. Governing law and disputes
14.1 This agreement is governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14.2 Before starting any legal proceeding, each party will first try in good faith to resolve the dispute by written notice and discussion for at least thirty days, except where a party seeks urgent relief to protect its intellectual property or confidential information.
14.3 Any proceeding arising out of or relating to this agreement must be brought exclusively in the state or federal courts located in the Commonwealth of Pennsylvania, and each party consents to their jurisdiction and venue.
15. General
15.1 Entire agreement and order of precedence. This agreement is the entire agreement between you and the Licensor about the Software and replaces any earlier understanding about it. If a Separate Agreement conflicts with this agreement, the Separate Agreement controls.
15.2 Changes. The Licensor may offer a revised agreement with a later version of the Software. The revised agreement applies to that version once you install it. The version of this agreement included with a copy of the Software governs that copy.
15.3 Assignment. You may not assign or transfer this agreement or the license without the Licensor's written consent. The Licensor may assign this agreement, including to a company the Licensor controls.
15.4 Severability and waiver. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the rest of this agreement remains in effect. A failure to enforce a provision is not a waiver of it.
15.5 Export. You will comply with all export and sanctions laws that apply to your use of the Software.
15.6 U.S. Government users. The Software is "commercial computer software" and its documentation is "commercial computer software documentation". Government users acquire only the rights granted to all other users under this agreement.
15.7 Notices. Notices to the Licensor must be in writing and sent to the contact below. Notices to you may be sent to the contact details you or your Organization have given the Licensor.
